By accessing or using Skill Canopy ("Service"), operated by Skill Canopy ("we," "our," or "us"), you agree to be bound by these Terms of Service. If you do not agree to these terms, do not use the Service.

We reserve the right to update these terms at any time. Continued use of the Service after changes are posted constitutes your acceptance of the revised terms.

2. Description of Service

Skill Canopy is an AI-powered platform that helps educators generate face-to-face soft skills games for classroom and facilitation use. The Service includes game generation, facilitation tools, session tracking, and a curated game library.

3. Eligibility

You must be at least 18 years old to create an account and use Skill Canopy. By using the Service, you represent that you meet this requirement. The Service is intended for use by educators, facilitators, and other professionals working with learners.

4. Your Account

You are responsible for maintaining the security of your account and for all activity that occurs under your account. You must provide accurate and complete information during registration and keep your account information up to date.

You may not share your account credentials or allow others to access your account. Notify us immediately at hello@skillcanopy.com if you suspect unauthorised access.

5. Acceptable Use

You agree not to:

• Use the Service for any unlawful purpose or in violation of any applicable laws
• Generate content that is harmful, discriminatory, abusive, or inappropriate for educational use
• Attempt to reverse engineer, scrape, or extract data from the Service in bulk
• Use the Service to train competing AI models without our written consent
• Impersonate any person or entity or misrepresent your affiliation
• Interfere with or disrupt the integrity or performance of the Service
• Attempt to gain unauthorised access to any part of the Service or its infrastructure

6. AI-Generated Content

The games and content generated by Skill Canopy are produced by artificial intelligence models. While we strive for quality, AI-generated content may occasionally be inaccurate, incomplete, or unsuitable for your specific context. You are responsible for reviewing all generated content before use with learners.

Games you generate using the Service are yours to use for educational purposes. We retain the right to use anonymised, aggregated interactions to improve the Service.

7. Intellectual Property

The Skill Canopy platform, including its design, software, curated content, and branding, is owned by us and protected by applicable intellectual property laws. You may not copy, reproduce, or distribute any part of the Service without our express written permission.

Content you create using the Service (including games you generate and session notes you write) remains yours. You grant us a limited, non-exclusive licence to store and process that content to provide the Service.

8. Privacy

Your use of Skill Canopy is also governed by our Privacy Policy, which is incorporated into these Terms by reference.

9. Disclaimer of Warranties

The Service is provided "as is" and "as available" without warranties of any kind, either express or implied, including but not limited to warranties of merchantability, fitness for a particular purpose, or non-infringement. We do not warrant that the Service will be uninterrupted, error-free, or free of harmful components.

10. Limitation of Liability

To the fullest extent permitted by law, Skill Canopy shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from your use of or inability to use the Service, even if we have been advised of the possibility of such damages.

Our total liability to you for any claims arising under these Terms shall not exceed the amount you paid to us in the twelve months preceding the claim, or $100 USD, whichever is greater.

11. Termination

We reserve the right to suspend or terminate your account at any time if we determine, in our sole discretion, that you have violated these Terms or that your use of the Service poses a risk to other users or to us.

You may close your account at any time by contacting us at hello@skillcanopy.com. Upon termination, your right to use the Service ceases immediately.

12. Governing Law

These Terms are governed by and construed in accordance with the laws of the State of New York, United States, without regard to its conflict of law provisions. Any disputes arising under these Terms shall be resolved in the courts located in New York County, New York.
